本合同簽于賣(mài)方與買(mǎi)方之間，雙方同意按照本合同所列條款由賣(mài)方出售，買(mǎi)方購(gòu)進(jìn)下列貨物用于    2022年度保養(yǎng)漆供應(yīng)              項(xiàng)目。
This Contract is made by and between Seller and Buyer(s). Whereby the Seller agrees to sell and the Buyer(s) agree to buy the mentioned commodity (ies) for the project of       ANNUAL CONTRACT OF 2022FOR SS                 hereunder according to the terms and conditions stipulated below. 
合同雙方可以對(duì)本合同項(xiàng)下所供應(yīng)貨物的數(shù)量和總價(jià)進(jìn)行調(diào)整。貨物最終的數(shù)量和總價(jià)以賣(mài)方實(shí)際交付的貨物數(shù)量和總價(jià)為準(zhǔn)。貨物單價(jià)僅對(duì)本項(xiàng)目有效。
The quantity and total price of the commodity (ies) supplied may be adjusted as agreed between the parties. The final quantity and total price are as finally delivered to the Buyer. The unit price is valid for this project only.
2. 上述價(jià)格已含13％銷(xiāo)售增值稅，但不包括因政府政策變更而產(chǎn)生的其它適用稅費(fèi)。
The price(s) specified above  include 13% of sales VAT,but doesn’t include other applicable taxes and fees generated by govement policy changes.
3. 保險(xiǎn)：賣(mài)方對(duì)由其運(yùn)輸?shù)呢浳锇窗l(fā)票總值的110％投保貨物運(yùn)輸險(xiǎn)，如買(mǎi)方欲增加上述保險(xiǎn)以外的其他險(xiǎn)別或超過(guò)上述額度保險(xiǎn)時(shí)，須事先征得賣(mài)方同意，其增保費(fèi)用由買(mǎi)方負(fù)擔(dān)。
Insurance: the commodity (ies) transported by the Seller is to be covered by transit insurance for 110% of the total invoiced value. Should the Buyer(s) desire to cover other risks besides the risk mentioned above or for an amount exceeding the 110% of the total invoiced value, the Seller’s approval must first be obtained and the Buyer(s) shall bear the costs of all additional premium charges incurred as a result of the additional cover.

7. 交貨期限：自收到供貨通知之日起的__10__天內(nèi)。如有其他原因延遲交貨的，賣(mài)方應(yīng)及時(shí)通知買(mǎi)方。
Time of Delivery: Within [  10   ] days after receipt of the notification of order. Seller shall notify its late delivery to Buyer in time if the late delivery is due to someother reasons.

Transportation Fees:
如買(mǎi)方一次性訂貨量超過(guò)__ _升（包括本數(shù)），賣(mài)方負(fù)責(zé)將貨物運(yùn)至買(mǎi)方指定地點(diǎn)，貨物到達(dá)指定地點(diǎn)前的運(yùn)輸費(fèi)用及其他費(fèi)用由賣(mài)方承擔(dān)。
Seller shall be responsible to deliver the product to the place as designated by buyer and shall be responsible for the transportation fees and other expenses for the product to be transported to the designated place in case that the quantity of the product purchased by Buyer is over__ _ Liter (including the amount)
如果買(mǎi)方一次性訂貨量不足__ __升的，賣(mài)方負(fù)責(zé)將貨物交付運(yùn)至買(mǎi)方指定地點(diǎn)，貨物到達(dá)指定地點(diǎn)前的運(yùn)輸費(fèi)用及其他費(fèi)用由買(mǎi)方承擔(dān)。 
 Seller shall be responsible to deliver the product to the place as designated by Buyer, but Buyer shall be responsible for the transportation fees and other expenses for the product to be transported to the designated place in case that the quantity of the product purchased by Buyer is less than __  Liter.  
10. 送貨單的簽收
Signature on Delivery Note:
買(mǎi)方在收貨時(shí)應(yīng)在賣(mài)方的簽收單上簽字或加蓋公章或雙方事先書(shū)面確認(rèn)的其他印章或由買(mǎi)方指定的代理人在賣(mài)方的送貨單上簽字，否則賣(mài)方有權(quán)不予卸貨，由此產(chǎn)生的損失由買(mǎi)方承擔(dān)。
Buyer shall have signature or its company chop or other seals as confirmed by both parties in advance on Delivery Note or has its designated agent to sign on Delivery Note, otherwise Seller has the right not to unload the product at the time when Buyer accepts the product. All the losses occurred therefrom shall be born by Buyer.
11. 付款條件：買(mǎi)方收貨驗(yàn)收合格后，賣(mài)方須在30天內(nèi)開(kāi)具13%增值稅發(fā)票并提供送貨驗(yàn)收單，買(mǎi)方收到發(fā)票之日起60天內(nèi)支付貨款
    Terms of Payment:  After the buyer receives the acceptance, the seller shall issue 13 % VAT invoice within 30 days and provide the delivery acceptance certificate. The buyer shall pay the purchase price within 60 days from the date of receipt of the invoice

買(mǎi)方必須按照本合同的條款向賣(mài)方履行付款義務(wù)。對(duì)任何遲延付款，賣(mài)方有行使停止供貨并要求買(mǎi)方就逾期部分以中國(guó)銀行同等貸款利率支付利息的權(quán)利。
The Buyer(s) shall pay the Seller according to the terms of this Contract. The Seller has a right to stop shipment and request the Buyer(s) to pay interest on the amount in delay at the official loan rate of the Bank of China for any late payment.
 
12. 商品檢驗(yàn)：由賣(mài)方簽發(fā)的品質(zhì)、數(shù)量、重量證書(shū)，作為品質(zhì)、數(shù)量/重量的交貨依據(jù)。
Inspection: The Certificate of Quality, Quantity/Weight issued by the Seller shall be taken as the basis of delivery.
13. 不可抗力：如果由于不可抗力事件或任何其他超出賣(mài)方合理控制范圍的原因，使賣(mài)方不能交貨或者不能在本合同規(guī)定的期限內(nèi)交貨，則賣(mài)方不負(fù)擔(dān)責(zé)任。但賣(mài)方應(yīng)當(dāng)立即將不可抗力事件通知買(mǎi)方，如果買(mǎi)方提出要求，賣(mài)方應(yīng)以掛號(hào)函的形式向買(mǎi)方發(fā)出不可抗力事件的通知。
Force Majeure: The Seller shall not be held responsible if, owing to a Force Majeure event or any other reasons beyond the reasonable control of the Seller , the Seller fails to deliver the goods or fails to do so within the time stipulated in this Contract.  The Seller shall inform the Buyer(s) immediately of a Force Majeure event and if requested by the Buyer(s), shall deliver a notice to the Buyer(s) of the Force Majeure event by registered post.
14. 異議和索賠：如果賣(mài)方不能在本合同規(guī)定期限內(nèi)交付整批或一部分的貨物，除非由于不可抗力事件或者取得買(mǎi)方同意而修改本合同規(guī)定外，買(mǎi)方有權(quán)撤銷(xiāo)在本合同第6規(guī)定的裝運(yùn)期限后10天內(nèi)未履行部分的合同，并賠償相應(yīng)損失。如果貨到買(mǎi)方后買(mǎi)方發(fā)現(xiàn)貨物的品質(zhì)有問(wèn)題，買(mǎi)方應(yīng)當(dāng)書(shū)面通知賣(mài)方其依照本條提出索賠的意圖，并提供該等索賠的證據(jù)。
Objection and Claim: Where the Seller fails to deliver all or part of the goods within the time stipulated in this Contract, the Buyer(s) shall have the right to cancel the part of the Contract which has not been performed within 10 days following the time of shipment set out in Clause 6 above and compensate relevant losses, except where such failure to deliver is due to a Force Majeure event or the Contract is modified upon the Buyer(s)'s consent. Where the Buyer(s) discover problems with the quality of the goods after they are delivered the Buyer(s) shall notify the Seller in writing of its intention to claim under this Clause and provide proof of such claim.  
15. 賣(mài)方保證所提供的貨物是以良好的原料和工藝制成，并且符合賣(mài)方當(dāng)前產(chǎn)品說(shuō)明書(shū)的要求。 
The Seller warrants the goods are made with sound materials and workmanship and comply with Seller's then current published product data sheets. 
16.  原則上保養(yǎng)油漆不可退，但因賣(mài)方原因造成的退貨除外；
 In principle, the Buyer(s) cannot return the sea stock paints delivered .
17. 違約責(zé)任：若由于任何一方違反本合同，而導(dǎo)致另一方受到任何損失或損害，違約方應(yīng)當(dāng)賠償另一方因此而遭受或發(fā)生的直接損失、損害、費(fèi)用和開(kāi)支。
Liability for breach of contracts: Either party who breaches this contract shall be liable to compensate the direct losses, damages, costs and expenses suffered by other party as a result of the breach.
18.  若在合同履行期間，任何一方出現(xiàn)經(jīng)營(yíng)狀況惡化、涉及重大訴訟等危及其履約能力的情形時(shí)，應(yīng)當(dāng)及時(shí)書(shū)面通知另一方說(shuō)明情況并提供另一方認(rèn)可的擔(dān)保，否則另一方有權(quán)解除合同。
In the performance of contracts, if crisis such as deteriorating business conditions, major lawsuits involving occur to either party and endanger their performance abilities, either party shall notify other party in writing to explain and provide acceptable guarantee, or other part has right to terminate the contract.
19. 本合同受中華人民共和國(guó)法律管轄。
       This Contract is governing by the law of the People's Republic of China (PRC).
20. 爭(zhēng)議：因簽署或執(zhí)行本合同發(fā)生的一切爭(zhēng)議或分歧，雙方應(yīng)通過(guò)友好協(xié)商解決。若協(xié)商不能達(dá)成協(xié)議的，爭(zhēng)議或分歧應(yīng)當(dāng)提交福州仲裁委員會(huì)。
Dispute: the parties shall settle all disputes or differences arising out of the signing or execution of this contract through friendly negotiation. If no agreement can be reached through negotiation, disputes or disputes shall be submitted to the XX international economic and trade arbitration commission for arbitration in XX
21. 語(yǔ)言：如果本合同的中文文本與英文文本有不一致之處，應(yīng)以中文文本為準(zhǔn)。
Language: In the event there is any discrepancy between the English and Chinese versions of this Contract, the Chinese version shall prevail.
22. 義務(wù)：本合同的簽約雙方，即上述賣(mài)方及買(mǎi)方，應(yīng)當(dāng)承擔(dān)按照本合同的條件和條款履行其義務(wù)的完全責(zé)任。凡應(yīng)簽署/執(zhí)行本合同或有關(guān)合同所發(fā)生的一切爭(zhēng)議應(yīng)由簽約雙方根據(jù)本合同的規(guī)定解決。
Obligation: Both parties to this Contract shall assume full responsibilities in fulfilling their obligations according to the terms and conditions of this Contract. Any dispute arising from the execution/performance of or in connection with this Contract shall be settled in accordance with terms of this Contract.
23. 賣(mài)方的銷(xiāo)售條款是本合同不可分割的一部分，與本合同具有同等的法律效力。
The Seller’s conditions of sales shall constitute an integral part of this Contract and shall also be equally authentic as the Contract.
合同附件：本合同包含下列附件，該些附件與本合同同等有效，合同附件應(yīng)作為合同一部分進(jìn)行蓋章確認(rèn)。

24.本采購(gòu)項(xiàng)目的招標(biāo)文件、中標(biāo)人的投標(biāo)文件以及相關(guān)的澄清確認(rèn)函（如果有）均為合同不可分割的一部分，與本合同具體同等法律效力。招標(biāo)文件、中標(biāo)人的投標(biāo)文件以及相關(guān)的澄清確認(rèn)函（如果有）中已有具體約定和要求，但本合同未明確列出條款的，均視為雙方認(rèn)可并接受約束。 Bidding documents for this procurement project, bid documents of the winning bidder, and the relevant letter of clarification and confirmation (if any) constitute an integral part of this Contract, and are equally authentic as this Contract. If there are specific provisions and requirements in the bidding documents, the bid documents of the winning bidder and the relevant letter of clarification and confirmation (if any), but the relevant clauses are not explicitly specified in this Contract, the Parties shall be deemed to have recognized and accepted being bound by such provisions and requirements.
